Whereis360 Terms of Use

Scope Of Agreement These terms govern your access to and use of our products and services, including those offered through our websites, events, communications (e.g., emails, phone calls, and texts) and mobile applications. By accessing or using the service, you are agreeing to these terms, which form a legally binding contract with: Whereis360 Inc.

Whereis360 makes no representations or guarantees that information on the sites is accurate. Whereis360 asks users who submit content to affirm that any information in the content is accurate, but Whereis360 does not verify the accuracy of the information submitted by users. All content on the sites is provided solely to assist users in exercising their own best judgment and at their own risk. Use Of The Platform Access to and use of the platform (Whereis360 websites, mobile or other applications, software, processes and any other services provided by or through Whereis360) is available only to individuals who are at least 18 years old and can form legally binding contracts under applicable law. By accessing or using the platform, you represent and warrant that you are eligible.

We grant you permission to use the platform subject to these terms. Your use of the platform is at your own risk, including the risk that you might be exposed to content (text, graphics, images, music, software, audio, video, information or other materials) that is offensive, indecent, inaccurate, objectionable, incomplete, fails to provide adequate warning about potential risks or hazards, or is otherwise inappropriate.

The platform may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability.

You must create an account and provide certain information about yourself in order to use some of the features that are offered through the platform. You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason.

By accessing or using the platform, you consent to receive communications from other users and Whereis360 through the service, or through any other means such as emails, push notifications, text messages (including SMS and MMS), and phone calls. These communications may promote Whereis360 or businesses listed on Whereis360, and may be initiated by Whereis360, businesses listed on Whereis360, or other users. You further understand that communications may be sent using an automatic telephone dialing system, and that you may be charged by your phone carrier for certain communications such as SMS messages or phone calls.

Any submission to the platform will be deemed and remain the property of Whereis360. By submitting content to the platform you hereby grant IABBB and its affiliates a royalty-free, perpetual, irrevocable, world-wide license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform and display the user content in any media or medium, form, format or forum.

You alone are responsible for your content, and once posted to Whereis360, it cannot always be withdrawn. You assume all risks associated with your content, including anyone’s reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose. You represent that you own or have the necessary permissions to use and authorize the use of your content as described herein. You may not imply that your content is in any way sponsored or endorsed by Whereis360.

You may expose yourself to liability if, for example, your content contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, service mark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; violates or advocates the violation of any law or regulation; or violates these terms.

We may use your content in a number of different ways, including by publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms.

Whereis360 and its licensees may publicly display advertisements, paid content, and other information nearby or in association with your content. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.

User content (including any that may have been created by users employed or contracted by Whereis360) does not necessarily reflect the opinion of Whereis360. Except as required by law, we have no obligation to retain or provide you with copies of your content, and we do not guarantee any confidentiality with respect to your content. We reserve the right to remove, screen, edit, or reinstate user content at our sole discretion for any reason or no reason, and without notice to you. For example, we may remove a review if we believe it violates our content rules.

Whereis360 shall not be subject to any obligations of confidentiality regarding user content except as expressly agreed by Whereis360, or as otherwise required by applicable law. Nothing contained in this agreement shall be construed as limiting Whereis360’ rights, responsibilities and obligations under its privacy policy located at here. Copyright And Trademark Material may be made available on the platform by third parties not within our control. We are under no obligation to, and do not, scan material used in connection with the platform for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit material known by us to infringe upon another party's copyright to remain on the platform.

Subject to your compliance with these terms, Whereis360 grants you a limited, non-exclusive, revocable, nontransferable, and non-sublicensable license to reproduce and display collective content (excluding any software source code) solely for your personal and non-commercial use and only in connection with your access to and participation in the platform. You will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the platform or collective content, except as expressly permitted in these terms. The platform and collective content are provided to you as is. If you download or print a copy of collective content for personal use, you must retain all copyright and other proprietary notices contained thereon. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Whereis360 or its licensors. Additional Terms You expressly agree that the platform may only be used for lawful purposes as governed by any applicable international, national/federal, state, provincial or local laws, statutes, and regulations. You may not use the platform in any way that could result in criminal or civil liability. Use of the platform from outside of the United States shall be in compliance with the laws of the jurisdiction from which you access the platform.

Whereis360 does not warrant or guarantee the accuracy, adequacy, timeliness, reliability, completeness, or usefulness of the platform and disclaims any liability for errors or omissions in the platform. The platform is provided "as-is" without any warranty, either express or implied. Whereis360 disclaims all warranties, including, but not limited to, any implied warranties of non-infringement, title, merchantability or fitness for a particular purpose, or any warranty that the platform is free of viruses or other harmful components. This does not affect those warranties that are not subject to exclusion, restriction or modification under the laws applicable to this agreement.

Under no circumstances shall Whereis360 be liable to you or any other party for any direct, indirect, special, consequential or exemplary damages, including but not limited to, damages for lost profits, business interruption, goodwill or other intangible losses of any kind arising from or relating in any way to your use of, or inability to use, the sites or the information contained in the platform; any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure; and any other matter relating to the platform, even if advised of the possibility of such damages.

Certain sections or pages on the platform may contain separate terms and conditions of use, which are in addition to the terms and conditions of this agreement. Should there be a conflict, the additional terms and conditions will govern for those sections or pages.

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of the agreement shall remain in full force and effect.

Whereis360 may publicly display advertisements, paid content, and other sponsored information. The manner, mode, and extent of such advertising are subject to change without specific notice to you.

Whereis360 reserves the right to modify this agreement at any time, with or without notice to you. Thus, you should check the agreement periodically for changes. You agree that Whereis360 will not be liable to you or any third party for any modifications to the agreement.
